This agreement
These terms are the agreement between you and AletSys PLC (“we”, “us”), of Addis Ababa, Ethiopia, for your use of Zami — the zami.et website, the application and the API. By creating an account or using the platform, you accept them.
If you are accepting on behalf of an organisation, you confirm that you are authorised to bind it, and “you” means that organisation. Where we have signed a separate written agreement with your organisation, that agreement governs and these terms fill any gaps in it.
Our privacy policy forms part of these terms and explains what we do with personal information.
Eligibility and your account
You must be at least 18 and legally able to enter a contract. Accounts are for named people: do not share your credentials, and do not let someone else use your account.
You are responsible for what happens under your account, for keeping your password and any API keys secret, and for the members of your organisation you invite into your workspace. Tell us at contact@zami.et as soon as you suspect unauthorised access.
Access to Zami may be granted by approval rather than by open signup. We may decline or revoke an account at our discretion.
What Zami provides
Zami gathers material from public and licensed sources, analyses it with automated tooling and language models, and presents the result as searches, dossiers, investigations and reports.
The platform changes. We add, alter and withdraw features, and we will give reasonable notice before removing something you depend on. We aim to keep the service available but do not guarantee uninterrupted access, and we may suspend it for maintenance.
Acceptable use
Zami is built for legitimate research: market and competitive analysis, creator discovery, brand and campaign work, due diligence, and journalism. It is not built for surveillance of private individuals, and you may not use it to:
- stalk, harass, intimidate, threaten, dox or endanger anyone, or build a profile of a person for any of those purposes;
- monitor a partner, ex-partner, family member or any private individual with whom you have a personal connection;
- discriminate against a person unlawfully, including on the basis of race, ethnicity, religion, sex, sexual orientation, disability, health or political opinion, or to infer those characteristics in order to do so;
- make decisions about employment, credit, insurance, housing or eligibility for a benefit where doing so would require a regulated consumer report — Zami is not one, and is not to be used as one;
- suppress, intimidate or expose journalists, activists, dissidents or human rights defenders, or assist a government or anyone else in doing so;
- breach a third party’s terms of service, defeat a technical access control, or access an account or system you are not authorised to access;
- resell, sublicense or redistribute the platform or bulk data extracted from it without our written agreement;
- probe or disrupt the service, circumvent rate limits, or use it to distribute malware;
- break any law that applies to you, or use the platform to help anyone else do so.
We may investigate suspected misuse and suspend access while we do. Serious misuse ends the agreement immediately.
Your responsibilities as a researcher
You decide who is researched and why. That makes the lawfulness of a piece of research yours, not ours, and by using the platform you confirm that for every investigation you run:
- you have a lawful basis for processing the personal information involved, and a legitimate purpose you could state plainly if asked;
- you will keep the research proportionate to that purpose, and will not retain material longer than it needs;
- you will meet any notice, transparency or rights obligations you owe the people concerned under the law that applies to you;
- you have the right to upload any material you bring into the platform, and to have it processed here;
- you will apply human judgment before acting on a finding about a named individual.
Where we process research material, we do so as your processor and on your instructions, as set out in the privacy policy. If we receive a rights request from someone who is the subject of your research, we will refer it to you and expect your cooperation in answering it.
Your content and data
What you upload and what you generate in your workspace remains yours. We claim no ownership of it.
You grant us the limited licence we need in order to run the service for you — to store, process, transmit and display your content, and to send it to the model providers described in section 7. That licence exists to operate the platform and for nothing else; it ends when you delete the content or close your account.
You can export your work while your account is open. We keep backups on a rolling basis, described in the privacy policy.
AI output, and what it is worth
Zami uses language models to summarise sources and draft analysis. Output is generated from patterns in text. It can be wrong, out of date, missing context, or confidently mistaken about a person, and two runs of the same question may not agree.
Output is a research aid and not a finding of fact, professional advice, or a basis for a decision about someone on its own. Check it against the sources it cites before you rely on it, and apply your own judgment — particularly where a conclusion concerns a named individual or could affect them. You are responsible for what you do with it.
Third-party services and sources
The platform draws on public sources, third-party platforms and licensed data, and integrates services such as Google sign-in. We do not control those sources, cannot guarantee that they are accurate, complete or available, and are not responsible for their content or their own terms and privacy practices. Where you connect a third-party account, that provider’s terms govern your relationship with them.
Plans and billing
Paid plans are quoted and agreed with us directly. Fees, billing period, usage limits and currency are set out in the order or quote that applies to you, and are payable in advance unless we agree otherwise.
Fees exclude taxes, which you are responsible for. Subscriptions renew for the same period unless either of us gives notice before the end of the current one. We may change pricing with at least 30 days’ notice, taking effect at your next renewal. Except where the law requires otherwise, payments already made are non-refundable. We may suspend access to an account that is materially overdue after telling you first.
Intellectual property
The platform — its software, design, brand and documentation — belongs to us and our licensors, and nothing here transfers any of it to you. You get a non-exclusive, non-transferable right to use Zami for your own business purposes for as long as this agreement lasts. Do not copy, reverse engineer or create derivative works of the platform except to the extent the law permits despite this clause. If you send us feedback, we may use it freely and without obligation to you.
Confidentiality
Each of us may learn non-public information about the other. Both of us agree to protect it, to use it only for the purposes of this agreement, and not to disclose it to anyone except employees and contractors who need it and are bound by equivalent obligations. This does not cover information that is public through no fault of the recipient, was already known, or was independently developed — and it does not prevent a disclosure the law requires, provided the other party is told where that is permitted.
Suspension and termination
You can stop using Zami and close your account at any time. We may suspend or terminate access if you materially breach these terms, if your account is materially overdue, if we are required to by law, or if your use presents a genuine risk to another person or to the platform.
Except where the breach makes it impossible, we will tell you what the problem is and give you a reasonable chance to fix it first. On termination your right to use the platform ends, and we handle your data as the privacy policy describes. The sections on intellectual property, confidentiality, disclaimers, liability, indemnity and governing law survive.
Disclaimers
To the fullest extent the law allows, the platform is provided “as is” and “as available”, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty as to the accuracy, completeness or currency of data, sources or generated output. We do not warrant that the service will be uninterrupted or error-free. Nothing in these terms excludes liability that cannot lawfully be excluded.
Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity, however caused. Our total aggregate liability arising out of or relating to this agreement is limited to the fees you paid us in the 12 months before the event giving rise to the claim. These limits do not apply to death or personal injury caused by negligence, to fraud, or to anything else that cannot lawfully be limited.
Indemnity
You will indemnify and hold us harmless against claims, losses and reasonable costs (including legal fees) arising from your use of the platform in breach of these terms, from content you upload, or from a research activity you directed — including a claim by someone who was the subject of it. We will tell you promptly about any such claim, let you control the defence of it, and cooperate with you at your expense.
Governing law
These terms are governed by the laws of Ethiopia, without regard to conflict of law rules, and we each submit to the exclusive jurisdiction of the courts of Addis Ababa, Ethiopia. Nothing here deprives a consumer of the protection of mandatory laws in their country of residence. If any provision is held unenforceable, the rest stays in force.
Changes, and how to reach us
We may update these terms as the product and the law change. The date at the top shows when they last changed. For material changes we will give at least 30 days’ notice by email or in the product, and continuing to use Zami after that means you accept the new terms. If you do not, you may close your account.
